1.      NAME. The name of the confederation is the International Waterski & Wakeboard Federation Asia, Australasia & Oceania. (abbreviation “IWWF AAO”) (Hereafter referred to as the AAO Confederation”).(Formerly known as the International Water Ski Federation Asian-Australasian Region) 
2.      COMPOSITION. The AAO Confederation is the association of the federations/organisations within the region recognised by the International Waterski & Wakeboard Federation (IWWF).
3.      AIMS.  The aims of AAO Confederation  are defined as follows:
3.1 To establish and promote friendly co-operation between all its members for
      the development of all disciplines of waterskiing.
           3.2 To apply IWWF regulations which will govern the AAO Confederation Championships and to control the use of these regulations.
 3.3 To investigate and ratify all AAO Confederation records established as per the official regulations of the IWWF & the AAO Confederation.
4.      DEFINITIONS
4.1 Waterskiing: Means the sport of waterskiing as defined from time to time by the IWWF Executive Board.
4.2 Words denoting the singular shall include plural and vice versa. Words denoting the masculine gender shall include the feminine and vice versa.
5.      HEADQUARTERS. The headquarters of AAO Confederation will be established in the country of residence of the President or otherwise at the discretion of the Executive Board.
6.      DURATION.   The duration of AAO Confederation is unlimited.  Its dissolution can however be decided at any time.
7.      DISSOLUTION.
7.1.   In order to decide on the dissolution of the AAO Confederation the procedure and voting majority are the same as for the amendment of this Constitution.
7.2.   In the case of the dissolution of AAO Confederation  liquidation of its property will be handled by the person or persons appointed for this purpose by the AAO Confederation Executive Board and the net proceeds after settlement of all liabilities will be donated to a sporting group, public utility service or charitable organization chosen by the AAO Confederation Executive Board.
8.      OFFICIAL LANGUAGE. The official language of the AAO Confederation is English.  The constitution, regulations and reports will be written in English.
9.      RESOURCES.  The financial resources of AAO Confederation  consist of:
9.1.   Subscription fees paid by the federations.
9.2.   Various fees (e.g. entrance fees) levied as per the needs of the AAO Confederation.
9.3.   Television, radio and press rights as negotiated
9.4.   Donations and legacies
9.5.   Investment income including interest and dividends etc
9.6.   Any other source approved by the AAO Confederation Congress
10.  AAO CONFEDERATION CHAMPIONSHIPS.  In each of the separate divisions of waterskiing, AAO Confederation Championships will be organized every two years, to be allotted as far as possible, to each of the members in turn.
10.1 For the present divisions are:
Barefoot,
Cableski
Cable Wakeboard
Disabled
Racing
Show Ski
Tournament
University
Wakeboarding
10.2 Other divisions may be established when justified by the development of water skiing throughout the world.
10.3 The winner in each divisional event will be awarded the title of AAO Confederation Champion or Asian Confederation Champion (men and women).
11. MEMBERSHIP. The AAO Confederation may admit only one member, (i.e. one federation/organisation) per nation or special administrative region (S.A.R.) provided that such federation/organisation is recognized by the authorities of its nation or S.A.R. as the ruling body. If there is no such official recognition, then the federation/organisation that appears to be the most representative and displays sufficient activity to justify admission shall be recognized as the ruling body by the AAO Confederation and shall be eligible for admission.
11.1. There shall be four categories of membership Affiliate Members, Recognised Members, Honorary Members and Patron Members.
            11.2  Affiliate Members; such federations/organisations are eligible for full rights of membership and shall pay full affiliation subscriptions.
            11.3  Recognised Members shall be  required to pay such reduced affiliation fees as the AAO Confederation Congress shall determine.  They shall be entitled to the privileges of membership including the right to nominate delegates to attend the AAO Confederation Congress, but those delegates shall not have voting rights, nor shall the federation/organisation have the right to participate in the AAO Confederation Championships except with the prior consent of the AAO Confederation Executive Board.
11.4 Application for admission shall be sent to the President and/or Secretary General of the AAO Confederation, who  shall examine each applicant and put it to the vote of the next AAO Confederation Congress.  The vote shall be held by show of hands and a simple majority shall be decisive.
11.5  A new or reinstated member shall first be granted Recognised Member status until such time as their membership of the IWWF is approved at the biennial IWWF Congress.
11.6 Depending on the nature and activities of the federation/organization, upon approval of the IWWF membership and upon payment of such additional subscription or fees as may be applicable the AAO Confederation Executive Board may approve the up-grade of the federation’s /organisation’s membership status to Affiliate Member.  
   11.7 The admission of a federation/organisation to the AAO Confederation must be announced immediately to the President of IWWF and members of the AAO Confederation.
11.8 Each federation/organisation accepted as a member may be required to pay an entrance fee and subscription.
11.9 The AAO Confederation Congress shall, from time to time, assess the subscription and entrance fees for the coming year.
      11.10 Resignation or exclusion terminates membership in the AAO Confederation. Every resignation must be sent in writing to the AAO Confederation President &/or the Secretary General before December 31 of the current year.  Resigning or suspended members are still required to discharge their financial obligations for the current and past financial years.
11.11 The AAO Confederation Congress may suspend or exclude a federation/organisation from the AAO Confederation, by simple majority vote taken by a show of hands, for any act that may prejudice the AAO Confederation’s interest whether pecuniary, ethical  or otherwise.
 
12.  HONORARY MEMBERS AND PATRON MEMBERS The following shall be considered for Honorary and Patron Membership:
12.1 Any person who renders, and/or has rendered, outstanding services to the AAO Confederation, and/or to the cause of waterskiing, may be eligible for admission as Honorary Member of the AAO Confederation.  Any person, organisation or incorporated body who makes, or has made, periodic monetary contributions to the AAO Confederation in furtherance of its objects, may be eligible for admission as a Patron Member of the AAO Confederation.
12.2 The Executive Board may, in its discretion, review the person(s), organisation(s) or incorporated body(ies) (if any) eligible for Honorary Membership or Patron Membership and may, at its discretion, recommend to the Members that such person(s), organisation(s) or incorporated body(ies) (if any) be admitted as either Honorary Member or Patron Member of the AAO Confederation. Such recommendation(s) (if any) shall be dispatched to each Member together with the final agenda of the AAO Confederation Congress.
12.3 Each such recommendation shall be considered during the AAO Confederation Congress and each such recommendation shall be accepted for admission either as Honorary Member or Patron Member if passed by a majority of those eligible to vote at such Annual Congressional Meeting
12.4 Honorary Members and Patron Members shall have the right to receive notice of, and to attend, all AAO Confederation Congressional Meetings, but shall have no right to vote,   and unless permitted by the chairperson of the AAO Confederation Congress, shall have no right to speak.  They shall each be entitled to appoint not more than one (1) representative to attend each AAO Confederation Congress as an observer.
13.  MEMBER CONSTITUTIONS AND REGULATIONS.  Each member shall draw up its own constitution and regulations which, shall not be contrary to nor in conflict with the Constitution and Regulations of AAO Confederation. Such constitutions shall be subject to review by the AAO Confederation Executive Board.
 
14.  SUBSCRIPTIONS.  Each member  shall pay the annual subscription established by the AAO Confederation Congress appropriate to its membership category (per rule 11.8).
14.1 In order to participate in the AAO Confederation Championships and/or vote at the AAO Confederation Congress a member must have paid all outstanding and current dues to the AAO Confederation before the commencement of the first meeting of the AAO Confederation Congress of the current year, or by March 31, except as provided in Clause 14.2 hereunder.
      14.2 The AAO Confederation may take any steps necessary with members that do not conform with rule 14.1 and in the case of members in arrears with their annual subscriptions, the AAO Confederation Congress shall have the power to cancel outstanding arrears, if thought fit.
14.3The fiscal year shall be from January 1 to December 31.
15. ADMINISTRATION.  The activities of the AAO Confederation will be governed and administered by the following:-
15.1 By the AAO Confederation Congress- which is the general assembly of all members of  the AAO Confederation and regarded as the ruling authority of the AAO Confederation.
     
15.2 By the AAO Confederation Executive Board- comprising the AAO Confederation President, the AAO Confederation Secretary General and the AAO Confederation Technical Chairman.
         
       15.3 By the AAO Confederation Divisional Councils
      
16. THE EXECUTIVE BOARD The Executive Board shall comprise:
                            the AAO Confederation President;
                            the AAO Confederation Secretary General;
                            the AAO Confederation Technical Chairman;

16.1  The Executive Board is responsible for the administration of the AAO Confederation and has the power to delegate any of its powers, duties or responsibilities as specified under these Articles to any person, and shall be responsible for, and empowered to undertake any of (but not limited to), the following:

1. proposing to Congress any modifications and/or amendments to the Constitution;

2. publishing and amending the Bye-laws and guidelines from time to time;

3. drawing up a List of Obligations for AAO Confederation titled events;

4. considering strategic plans for the future of the AAO Confederation.

5. administering the day-to-day affairs.

16.2 Except where otherwise expressly provided for in these Articles, no member of the Executive Board shall be entitled to payment for their services but may be reimbursed for reasonable expenses incurred.
16.3 The Executive Board shall meet as many times as is necessary for the proper discharge of its duties and shall be responsible and report to the Members at the biennial AAO Confederation Congress Meetings.
17.  ELECTIONS AND APPOINTMENTS TO THE EXECUTIVE BOARD All elections to the positions of the Executive Board shall take place as follows:
17.1 All elections for the AAO Confederation President, the Secretary General, the Technical Chairman shall be conducted at the biennial AAO Confederation Congress and shall be for a term ending at the biennial AAO Confederation Congress following completion of a period of two (2) years’ service (“Executive Board Term of Office”). Following expiry of the Executive Board Term of Office, such persons shall be eligible for re-election to office unless otherwise expressly provided for in these Articles.
17.2 Any vacancy on the Executive Board howsoever occurring may be filled by the Executive Board at its discretion.
17.3 Nominations for election to the posts of AAO Confederation President, Secretary General, Technical Chairman must be received at the Offices not less than thirty (30) days prior to the date scheduled for the biennial AAO Confederation Congress at which the elections are to be conducted.
17.4 No nomination to the Executive Board shall be accepted unless:
1. it is made by active members in respect of the post of AAO Confederation  President, Secretary General and Technical Chairman; and
2. a statement signed by the nominee confirming his willingness to stand for election is received at the offices on or before the closing date for nominations; and
3. a statement of reasonable length made by each nominator in support of their nomination is received at the offices on or before the closing date for nominations; and
4. a statement from the nominee is received at the offices on or before the closing date for nominations confirming either (i) he has no material commercial Interest(s) relating to waterskiing or, (ii) if he does have any such interest(s), then setting out in full the nature and extent of such interest(s).  In the event of (ii), such statement shall accompany the list of nominations at the biennial AAO Confederation Congress at which the elections are to be conducted.  In the event of any change to the statement from the nominee regarding such interest(s), the nominee shall notify the offices of such change not less than thirty (30) days from the date scheduled for the AAO Confederation Congress and in any event, as soon as practicable.
17.5 Only one nomination for each position from an active member will be accepted.
17.6 Any nominee for election to the positions of AAO Confederation President, Secretary General and Technical Chairman must have previously been an officer (or equivalent thereof) of the AAO Confederation or of an Active Member thereof.
17.7 All elections shall be conducted by secret ballot unless uncontested.
 
17.8 The election for the post of AAO Confederation President shall be conducted first.  If there is only one (1) nominee, such nominee shall be elected President by simple majority of all votes cast.  If a simple majority is not attained, the chairperson shall declare that further nominations for the post of President may be received from the floor.  If there are two (2) or more contesting nominees for the post of President, the nominee with the higher/highest number of votes shall be declared by the chairperson as the elected President.
 
17.9 The election for the post of AAO Confederation Secretary General shall be conducted following the election of the President.  The election procedure shall be the same as for the post of President. If the elected President is also a nominee for the post of Secretary General, he shall automatically be removed from standing for election for the post of Secretary General. 
17.10 The election for the post of AAO Confederation Technical Chairman shall follow the election of the Secretary General.  The election procedure shall be the same as for the post of President. If the elected President and/or the elected Secretary General is / are also nominees for the post of Technical Chairman, he /they shall automatically be removed from standing for election for the post of Technical Chairman. 
 17.11 If in any ballot two (2) or more nominees contesting for the same post on the Executive Board each receive an equal number of votes, the election shall be re-balloted until such time as an election is made.
17.12 In the event that more than two (2) nominees for the offices of AAO Confederation President, Secretary General and Technical Chairman habitually reside in the same country/ SAR only a maximum of two (2) such nominees may be elected to any of these posts at any one time and any and all remaining nominees from the same country/SAR shall automatically be excluded from standing for election for the remaining post (which shall then only include nominees from other countries/SAR’s).. For the purposes of determining the habitual place of residence of any person, the Executive Board’s decision shall be final and conclusive.
18. VICE-PRESIDENTS. The Executive Board shall be entitled to nominate one or more parties to the office of AAO Confederation Vice-President immediately following completion of elections and appointments to the AAO Confederation Executive Board at Congress,
             
  18.1 Any such nomination by the AAO Confederation Executive Board shall be      presented to the AAO Confederation Congress.
 18.2 The nominee(s) shall be appointed to the office of Vice-President by simple majority of the AAO Confederation Congress.
 18.3 The AAO Confederation Vice-President shall serve a term of two (2) years commencing on the date of his election or until the next AAO Confederation Congress where he shall be entitled to stand for nomination and re-election.
 18.4 The AAO Confederation Vice-President shall exercise such powers, authority and undertake such duties as the AAO Confederation Executive Board may determine at its absolute discretion
            
  
19.  ASIAN WATERSKI & WAKEBOARD FEDERATION PRESIDENT AND  VICE-PRESIDENTS   Immediately following completion of elections and appointments to the AAO Confederation Executive Board at the AAO Confederation Congress, election for the position of President and Vice-Presidents of the Asian Waterski & Wakeboard Federation shall take place.
            
19.1 Nominations shall be from Asian members only and approved by the AAO Confederation Executive Board. 
           
19.2 The election of the President of the Asian Waterski & Wakeboard Federation shall be by a simple majority of the Asian members entitled to vote at the AAO Confederation Congress.
19.3 The President and Vice-Presidents of the Asian Waterski & Wakeboard Federation shall serve a term of two (2) years commencing on the date of his election or until the next AAO Confederation Congress where he shall be entitled to stand for nomination and re-election.
19.4 The President and Vice-Presidents of the Asian Waterski & Wakeboard Federation shall assist the AAO Confederation Executive Board in co-ordinating activities within Asia.
 19.5 Up to three (3) Vice-Presidents may be appointed.
 20. PRESIDENT EMERITUS. The AAO Confederation Executive Board shall be entitled to nominate one previous AAO Confederation President to the office of AAO Confederation President Emeritus immediately following completion of elections and appointments to the AAO Confederation Executive Board at the AAO Confederation Congress,
 
20.1 Any such nomination by the Executive Board shall be presented to the Congress by the newly elected President as soon as practicable following completion of the elections. The newly elected AAO Confederation President shall present   any such nomination by the AAO Confederation Executive Board to the AAO  Confederation Congress
 
20.2 The nominee shall be elected to the office of AAO Confederation President Emeritus by simple majority of the AAO Confederation Congress.
20.3 The AAO Confederation President Emeritus shall serve a term of two (2) years commencing on the date of his election or until the next AAO Confederation Congress where he shall be entitled to stand for nomination and re-election.
         20.4 The AAO Confederation President Emeritus shall exercise such powers and authority and shall undertake such duties as the AAO Confederation Executive Board may at its absolute discretion determine, including representing the AAO Confederation  and the  AAO Confederation  Executive Board.
21. IWWF REPESENTATION The AAO Confederation will be represented on the IWWF by:
21.1 The AAO Confederation may appoint two (2) confederational representatives to serve as directors on the IWWF Executive Board. Under normal circumstances the elected AAO Confederation President and Secretary General shall automatically fulfill these roles. In the event that one or other is unable to take up this position the Technical Chairman shall take up the vacancy, failing which a further election shall be conducted at the biennial AAO Congress. The election procedure shall be the same as for the post of President.
  
21.2 The AAO Confederation shall be entitled to have one (1) confederational representative elected as a director to the IWWF Bureau and Executive Board (by way of simple majority) as IWWF Vice-President. The AAO Confederation shall be entitled to nominate up to a maximum of two (2) candidates to stand for election to the office of IWWF Vice-President. Such nominees must not be the current AAO Confederation President, Secretary General nor Technical Chairman.
 
21.3 Although appointed by the AAO Confederation the role of the IWWF Vice- President shall be to serve the world governing body. The role of the IWWF Vice-President in AAO Confederation affairs will be at the discretion of the AAO Confederation Executive Board.
21.4 Nominations for IWWF Vice-President 
21.5 Nominations shall be the same as for the President. In the event that more than one candidate is nominated elections shall be deferred until the IWWF Congress at which they will take up office.
21.6 Only Affliliate Members from the same AAO Confederation attending/or by way of proxy at the IWWF Congress shall be entitled to vote in respect of the AAO Confederational Representative(s) who is/are standing for election as IWWF Vice-President and the election procedure specified in IWWF Article 88 shall apply.
21.7 Details of, and information relating to, nominations received at the offices shall accompany the agenda for the biennial AAO Confederation Congress at which the elections are to be conducted and shall include: 
1. a full and complete list of accepted nominations
2. a statement of reasonable length made by each nominator in support of their nomination
3. a statement confirming (i) the nominee has no material commercial Interest(s) relating to waterskiing or, (ii) if he does have any such interest(s), then setting out in full the nature and extent of such interest(s). 
21.8 All elections shall be conducted by secret ballot unless uncontested.
22. IWWF COMPLIANCE The AAO Confederation, while recognising its cultural differences, will endeavour to comply with:
                        1. The IWWF Memorandum of Association
                        2. IWWF Articles of Association, particularly in regard to Articles 12 to16 ‘Continental Federations’
                        3. The IWWF Bye-laws, particularly in regard to Bye-law 7 ‘Confederations’ 
23. IWWF ANTI-DOPING POLICY The AAO Confederation agrees to accept and enforce the IWWF Anti-doping Policy
24. DISPUTE RESOLUTION The resolution of any dispute will initially be handled by the AAO Executive Board with such consultation as it feels appropriate with the IWWF and such other parties.   
              24.1 Failing satisfactory resolution the AAO Confederation agrees to be bound by the decision(s) of the Court of Arbitration for Sport in Lausanne, Switzerland.
              24.2 Dispute resolution procedures may be set-out in the AAO Confederation Bye-laws.    
25. ELECTRONIC MAIL VOTING The AAO Confederation Executive Board, Councils and any other bodies may vote by way of electronic-mail balloting. A quorum comprising two-thirds (2/3) rounded-up of those entitled to attend and vote at the meetings must respond including specific declarations of abstention and ignored for the purposes of voting. A decision shall be made by simple majority of the actual votes cast. The specified date shall not be less than ten (10) whole days from the date of the originating requested vote.
A) CONGRESS
26. CONGRESS AUTHORITY.  The AAO Confederation Congress is the ruling authority of AAO Confederation .
27. CONGRESS COMPOSITION.  .
             Each Affiliate Member (rule 11.2) being financially compliant (rules 14, 14.1 & 14.2) is entitled to be represented at the AAO Confederation Congress by a maximum of two delegates either in person or by proxy, only one of whom shall have the right to vote on behalf of their federation.
       
       27.1 The members of the AAO Confederation Executive Board and the delegates of Recognised Members may also take part in the AAO Confederation Congress but will not have the right to vote, unless holding a proxy on behalf of another financially compliant member. The AAO Confederation Congress Chairman is exempted from this rule under rule 28.
       
      28. CONGRESS CHAIRMAN.  The AAO Confederation Congress will be presided over by the AAO Confederation President who will have a casting vote in the case of a tied vote.  In absence of the AAO Confederation President, the AAO Confederation Secretary General or such other party designated by the AAO Confederation Executive Board shall act in this capacity.
      29. CONGRESS VOTING. Except in the case provided for in rule 31, all decisions are taken by a simple majority.
          29.1 Voting will normally be on a show of hands unless:
             1 A poll or nominal call is deemed necessary by the AAO Confederation Congress Chairman or requested by delegates representing one quarter of the voting power represented at the AAO Confederation Congress meeting.
             2 A secret ballot is deemed necessary by the AAO Confederation Congress Chairman or requested by delegates representing one third of the voting power represented at the AAO Confederation Congress meeting.  The request for a secret ballot excludes the right of a poll or nominal call.
3 Voting by proxy is allowed with written authority.  The instrument of proxy shall be deposited with the AAO Confederation Secretary General at least seven (7) days prior to the meeting.
              4 A proxy-holding delegate can represent one member only.
30. CONGRESS VOTES.  Each Affliate Member participating in the AAO Confederation Congress shall be entitled to one (1) vote).
  31. AAO CONFEDERATION CONSTITUTION AMENDMENT.  Amendments to the AAO Confederation Constitution must be approved by a 2/3 majority of the voting power at the AAO Confederation Congress.
 
31.1 In order to confirm such amendments a second vote by correspondence is required.  The AAO Confederation Secretary General shall send the amendments approved by the AAO Confederation Congress to all the AAO Confederation members within 60 days following the date of the AAO Confederation Congress.  Should any active member not reply within 30 days from the date on which the amendments were sent out, it would be considered that such members are in favor of the amendments in question.
31.2 Amendments to the AAO Confederation  Constitution will come into force if accepted by a 2/3 majority of the voting power of the  AAO Confederation members  as established during the preceding  AAO Confederation Congress).
32. CONGRESS MINUTES.  The minutes will be recorded by the AAO Confederation Secretary General and will be distributed to all AAO Confederation members within 28 days of the completion of the meeting.
33. CONGRESS FREQUENCY. The AAO Confederation Congress will meet at least once biennially coincidentally with one of the divisional confederation championships.
34. CONGRESS NOTICE OF MEETING.  The notice convening the meeting of AAO Confederation Congress shall be posted not less than 60 days prior to the date of the proposed meeting.  Such notice will state the last date on which the AAO Confederation will accept agenda items.
35. CONGRESS AGENDA.  The preliminary agenda will be posted to AAO Confederation members at least 30 days prior to the date of the proposed meeting.
35.1 The final agenda will be posted to AAO Confederation  members at least 7 days prior to the date of the proposed meeting and include a full and complete list of accepted nominations.
  35.2 If additional points are raised at AAO Confederation Congress, which do not appear on the agenda, no decision will be taken on these except a decision to convene an extraordinary meeting.
36. CONGRESS EXTRAORDINARY MEETING.  In exceptional circumstances the AAO Confederation President or the AAO Confederation Secretary General are empowered to convene an extraordinary meeting of the AAO Confederation Congress or if called upon by delegates representing 2/3 of the voting power of AAO Confederation Congress. 
36.1 In exceptional circumstances an extraordinary meeting of the AAO Confederation Congress may be convened by AAO Confederation President or the AAO Confederation Secretary General or by delegates representing 2/3 of the voting power of the AAO Confederation Congress.  Any decisions taken at such extraordinary meetings shall be ratified by correspondence vote in the same manner as required for amendment of the AAO Confederation Constitution (rule 31.1)
37. CONGRESS QUORUM.  The AAO Confederation Congress is properly constituted provided that at least one third of the active AAO Confederation members are represented.
38. CONGRESS SCOPE AND DUTIES.  The AAO Confederation Congress will receive and adjudicate on:
  38.1 Reports of: 
                                              AAO Confederation President
                                              AAO Confederation Secretary General
                                              The Chairman of the AAO Confederation   Technical                    Committee
                                              Asian President
  38.2 The balance sheet and income & expenditure statement
  38.3 The proposed budget as submitted
  38.4 Modifications to the AAO Confederation Constitution
  38.5 The awarding of the AAO Confederation Championships
  38.6 The request for ratification of decisions made by AAO Confederation Executive Board which are binding on the AAO Confederation.  Urgent decisions taken outside of the constitutional powers are executory and only become final after ratification by the AAO Confederation Congress.

39. CONGRESS DELEGATION OF AUTHORITY.  Except for questions related to the modifications of the AAO Confederation Constitution, the AAO Confederation Congress can delegate its powers to the AAO Confederation Executive Board.
40. CONGRESS TECHNICAL DECISIONS.  The AAO Confederation Executive Board and AAO Confederation Technical Committee must comply with the decisions of AAO Confederation Congress.
B) EXECUTIVE BOARD.
 41. THE EXECUTIVE BOARD CONSISTS of the AAO Confederation President, the AAO Confederation Secretary General and the AAO Confederation Technical Chairman. The AAO Confederation Executive Board shall be elected by the AAO Confederation Congress at the biennial meeting to serve for a period of two years or until the next Congress.
42. VACANCY OF THE OFFICE OF PRESIDENT.  If the office of the AAO Confederation President falls vacant as a result of illness, resignation or death, the AAO Confederation Secretary General is to assume the functions of the AAO Confederation President during the period of indisposition or until the next AAO Confederation Congress. That period shall not exceed 6 months before an election shall be held for a new AAO Confederation President.
    42.1 In the event of the office of the AAO Confederation Secretary General becoming vacant, the AAO Confederation President is to designate a temporary AAO Confederation Secretary General to serve during the period of indisposition of the former, or until the next AAO Confederation Congress.
43. EXECUTIVE BOARD MEETING FREQUENCY.  The AAO Confederation Executive Board shall meet as often as necessary.  Its decisions must be unanimous and shall be recorded in minutes, which shall be signed by the AAO Confederation President and AAO Confederation Secretary. E-mail, telephonic, facsimile and/ or postal voting which must be unanimous is permissible on specific proposals.
44. EXECUTIVE BOARD POWERS.  The AAO Confederation Executive Board is invested with the necessary powers to conduct the current affairs of the AAO Confederation and to represent it in all legal matters without any limitations other than those set out in the present AAO Confederation Constitution and AAO Confederation  Regulations.
45. EXECUTIVE BOARD SIGNATURES.  The joint signatures of any two of the AAO Confederation Executive Board and any other party designated by the AAO Confederation Executive Board shall act as valid representation of AAO Confederation.
46. EXECUTIVE BOARD REPORT.
      46.1 At the end of each two-year term the AAO Confederation Executive Board has to present to the AAO Confederation Congress:
                    1 A report on the activities of the AAO Confederation 
                    2 A financial report including the balance sheet and income and expenditure statement
                    3 A proposed budget for the next financial term.
                    4 A request for ratification of all decisions made by the AAO Confederation        Executive Board.
      46.2 At the end of each fiscal year the AAO Confederation Executive Board shall circularise a report to all AAO Confederation members on activities including a financial report.
C) DIVISIONAL COUNCILS

47. TECHNICAL CHAIRMAN.  The role of the AAO Confederation Technical Chairman will be to co-ordinate the activities of the AAO Confederation Divisional Councils and to harmonize their decisions. The AAO Confederation Technical Chairman can be elected from any division of the AAO Confederation.
   48. COMPOSITION OF ELECTION.  Each AAO Confederation Divisional Council shall comprise not less than three and up to nine members ratified by the AAO Confederation Congress   The members of the AAO Confederation Divisional Councils shall be ratified after recommendations from the AAO Confederation Executive Board from the candidates proposed by the members.
48.1They will be chosen for a term of two years, starting on the date of their election by the Congress until the next AAO Confederation Congress, after which they are re-eligible.
        48.2 The members of the councils will elect among themselves their Chairman and their Secretary.
48.3 The decisions of a council are valid only if at least two and not less than one third of its members are present.  Nevertheless e-mail, telephonic, facsimile and /or postal voting is permissible on a specific proposal.
48.4 A member of a council who is absent from at least two consecutive council meetings or three non-consecutive meetings force majeure accepted will be automatically assumed to have resigned. The council, with the approval of the AAO Confederation Executive Board, may co-opt a substitute member.  The substitute’s term of office will end at the same time as that of the member he replaces.
    48.5 The Council will elect up to three of its members and  one alternate member to serve on the IWWF Divisional Council or Committee. Such members will be approved by the AAO Confederation Executive Board and ratified by the AAO Congress.
  49. POWERS.  The role of the councils, each one in its specific division will be:
      49.1 To draw up rules for the AAO Confederation   Championships and other competitions concerning the AAO Confederation and to see to it that all orders and instructions necessary for the running of these competitions are being respected.
      49.2 To draw up, from proposals by the members, the list of judges qualified to adjudicate at AAO Confederation   Championships.
49.3 To examine the installations and material available for use at AAO Confederation   Championships.
    49.4 To check all the safety equipment
      49.5 To draw up the technical section of the general List of Obligations for the organization of AAO Confederation Championships, to be submitted to the AAO Confederation Executive Board that is in charge of the preparation of the List of Obligations.
      49.6 To lay down the conditions and methods to be followed to establish AAO Confederation   records.
    49.7 To ratify these records that will become effective after the approval of the AAO Confederation President.
    49.8 To represent the AAO Confederation   on the World Council in each division at all meetings.
50. DIVISIONAL COUNCIL JUDGES.  Judges for AAO Confederation   Championships shall be appointed by the AAO Confederation President who shall select them from a list established by the AAO Confederation Divisional Council.
51. RECOGNITION OF COMPETITORS IN AAO CONFEDERATION SANCTIONED EVENTS.  The use of flags and anthems in the opening, victory and closing ceremonies should comply with I.O.C. Charter, Rule 63, 65, 66 – all flags and anthems used by members of the AAO Confederation   are called “delegation” flags and anthems, not “national” flags and anthems
52. OBLIGATIONS OF HOST MEMBERS CONCERNING AAO CONFEDERATION CHAMPIONSHIPS & ASIAN CHAMPIONSHIPS.  Obligations are to be negotiated at the time of the bid by the AAO Confederation Executive Board assisted by the AAO Confederation Divisional Councils as required.
53. BYE-LAWS.  AAO Confederation Bye-laws will be established by the AAO Confederation Executive Board. They will be effective as soon as they have been communicated in writing to the members.
      53.1 Amendments and additions to the AAO Confederation Bye-laws must be approved by the next AAO Confederation Congress.
